Contact: sales@gixweb.io These Terms of Service (“Terms”) govern your access to and use of the services provided by GixWeb Tech FZ-LLC (the “Services”). By using, ordering, or paying for our Services, you agree to be bound by these Terms. If you do not agree, do not use or order the Services.
1. DefinitionsCustomer / you / your — any person or entity that requests, orders, purchases, pays for, or uses the Services.
GixWeb / we / us / our — GixWeb Tech FZ-LLC, a Free Zone Limited Liability Company FZ-LLC registered in Ras Al Khaimah Economic Zone / RAKEZ, United Arab Emirates, Registration No. 0000004087363.
Services — commercial support and intermediary services for the selection, comparison, and access to partner terms for AI APIs, AI tokens, inference, cloud infrastructure, China Connectivity, Cloud Phones, and any other related products or services that GixWeb may provide.
Providers — third-party providers of technology, infrastructure, AI models, cloud services, telecommunications routes, payment solutions, Cloud Phones, data centers, and any other services used to provide or support the Services.
Order — an order form, quotation, invoice, statement of work, technical specification, email confirmation, or any other document that sets out the specific Services, fees, payment terms, delivery terms, onboarding process, and other commercial terms.
Partner Terms — commercial terms, discounts, rates, limits, quotas, access rights, volumes, or other benefits that may be available to the Customer through GixWeb or its partner network.
Account — any account, workspace, dashboard, API access, payment profile, or other access method through which the Customer uses the Services.
2. Role of GixWeb and General Nature of ServicesGixWeb acts as a commercial partner and intermediary for the optimization of AI API, AI token, inference, and cloud infrastructure purchasing terms. GixWeb is not a general cloud provider, does not replace the Customer’s technical team, and does not guarantee that it can replace the Customer’s existing provider in every case.
GixWeb’s primary role is to compare the Customer’s current purchasing model with available Partner Terms and, where a commercially more favorable route is available, offer a possible cooperation model to the Customer.
At the first stage, GixWeb usually performs a preliminary commercial assessment without requiring access to the Customer’s source code, user data, prompts, logs, or infrastructure. Technical changes, migration, or infrastructure restructuring are discussed only where necessary and after the commercial benefit has been confirmed.
3. Scope of ServicesGixWeb may provide the following categories of Services:
- AI Tokens, AI APIs and inference — selection and access to Partner Terms for AI APIs, tokens, inference, limits, quotas, and AI model access through direct or partner channels.
- Cloud Services — commercial comparison and optimization of cloud infrastructure terms, including AWS, Google Cloud, Microsoft Azure, Tencent Cloud, Alibaba Cloud, Huawei Cloud, and other available providers.
- China Connectivity — selection and commercial access to routes and network solutions designed to improve availability, stability, and connection quality with mainland China, including CN2 / TO and other available routes.
- Cloud Phones — provision or arrangement of access to managed Android devices hosted in the cloud, which may be used for testing, operational processes, automation, account operations, support, and other permitted use cases.
- Commercial analysis and support — preliminary assessment of current spend, comparison of Partner Terms, preparation of commercial calculations, provider coordination, onboarding, billing, and support.
The specific Services, fees, delivery terms, onboarding process, service levels, and restrictions are set out in the relevant Order.
Licensed ActivitiesGixWeb operates under licences issued by Ras Al Khaimah Economic Zone Authority. The licensed activities include Information Technology Consultants, Computer Systems and Software Designing, Cloud Service & Datacenters Providers, Innovation & Artificial Intelligence Research & Consultancies, and Gaming Consultancy Services.
Certain Services may require additional approvals from UAE competent government authorities, where applicable. The availability and scope of any Service may depend on such approvals, provider requirements, applicable law, and the terms of the relevant Order.
4. Orders, Provisioning and OnboardingOrders are subject to acceptance by GixWeb. An Order becomes binding when GixWeb confirms it in writing, issues an invoice, receives payment, or otherwise confirms acceptance.
Provisioning times vary depending on the selected Service, provider, region, volume, billing requirements, KYC / KYB checks, data verification, technical configuration, and actions required from the Customer. Any delivery or onboarding timelines are estimates only unless expressly stated otherwise in the Order.
Some Services require information or actions from the Customer, including identity or company verification, payment information, domain or DNS changes, API keys, cloud environment settings, regions, billing details, or other technical information.
GixWeb is not responsible for delays caused by missing, incomplete, inaccurate, or late information from the Customer, or for delays caused by third-party providers.
5. Commercial Assessment and Required InformationFor a preliminary assessment, GixWeb may request a limited set of commercial information, including:
- current AI API, AI model, or cloud service providers;
- approximate monthly spend range;
- main regions and user geography;
- models used, workload types, or main cloud cost categories;
- existence of direct contracts, committed spend, reserved instances, or other commercial commitments;
- payment, documentation, currency, SLA, data processing, and compliance requirements.
At the first stage, GixWeb does not request user data, source code, prompts, logs, a full technical audit, or infrastructure access unless otherwise expressly agreed by the parties.
The Customer confirms that the information it provides is accurate and up to date to the extent necessary for the assessment. GixWeb is not responsible for inaccurate conclusions or calculations where they are based on incomplete or inaccurate information provided by the Customer.
6. Pricing, Billing and PaymentFees are those stated in the Order, invoice, or quotation. Unless otherwise stated, fees are exclusive of applicable taxes, bank charges, payment processor fees, blockchain or network fees, and any other charges.
GixWeb may use different payment models, including:
- prepayment;
- monthly billing;
- usage-based billing;
- deposit;
- fees for access to Partner Terms;
- success fee;
- agency or partner commission;
- any other model agreed in the Order.
GixWeb may suspend or restrict the Services in case of late payment, exceeded limits, insufficient deposit, breach of payment terms, or suspected improper use of the Services.
Refunds are only provided where expressly agreed in the Order or required by applicable law.
7. Cryptocurrency SpecificsIf GixWeb accepts payment in cryptocurrency, the Customer accepts the risks of volatility, transaction irreversibility, network fees, confirmation delays, and potential transfer errors.
A cryptocurrency payment is considered received after the required number of confirmations on the relevant blockchain. Unless otherwise agreed, GixWeb may account for the cryptocurrency payment in the currency specified in the Order at the rate selected or confirmed by GixWeb at the time of processing.
The Customer is responsible for providing the correct wallet address, network, memo / tag, payment amount, and other payment details. Funds sent incorrectly may be non-refundable.
8. Accounts, Credentials and SecurityThe Customer must provide accurate information and keep account credentials, API keys, payment details, wallets, dashboards, user accounts, and internal systems secure.
The Customer is solely responsible for all activity under its Account, access credentials, or any credentials provided to it.
The Customer must promptly notify GixWeb of any unauthorized use, data leak, compromised access, or suspected improper activity.
GixWeb may temporarily suspend access to the Services if it reasonably suspects unauthorized, unlawful, or improper use, or if access creates risk for GixWeb, providers, partners, or third parties.
9. Use RestrictionsThe Customer agrees not to use the Services to:
- violate applicable law, sanctions requirements, export controls, or regulations;
- transmit, host, or distribute malware, phishing, spam, bot traffic, or malicious content;
- unlawfully collect, process, store, or transfer personal data;
- infringe intellectual property rights, confidentiality rights, or third-party rights;
- circumvent technical restrictions, quotas, pricing, anti-fraud systems, provider policies, or security mechanisms;
- engage in unlawful financial activity, money laundering, terrorist financing, or sanctions evasion;
- conduct activity that may result in blocking, penalties, claims, or deterioration of GixWeb’s relationships with providers or partners;
- host, store, transmit, or distribute unlawful, harmful, fraudulent, extremist, terrorist, pornographic, or otherwise prohibited materials;
- interfere with the operation, security, stability, or availability of networks, systems, models, APIs, cloud infrastructure, or devices.
GixWeb may suspend or terminate Services that violate these restrictions.
10. Third-Party Services and ProvidersSome Services may involve third-party providers, including cloud providers, AI model providers, telecom providers, data centers, payment processors, KYC / KYB providers, Cloud Phone platforms, and other partners.
The Customer agrees that use of such third-party services may be subject to the terms of the relevant providers. GixWeb is not liable for acts, omissions, outages, pricing changes, restrictions, blocking, unavailability, delays, API changes, limits, SLA changes, or policies of third-party providers where such matters are beyond GixWeb’s reasonable control.
GixWeb does not guarantee the ongoing availability of any specific provider, model, region, rate, discount, limit, payment channel, or route unless expressly agreed in the Order.
11. AI APIs, Models and AI Service LimitationsWhen using AI APIs, tokens, models, or inference, the Customer understands and agrees that:
- model availability, pricing, limits, latency, rate limits, and usage rules may change;
- AI model outputs may be incomplete, inaccurate, unsafe, or unsuitable for a particular purpose;
- the Customer is responsible for reviewing, using, and implementing AI outputs in its products, processes, and decisions;
- GixWeb is not responsible for the Customer’s prompts, user data, outputs, user decisions, or consequences of using AI outputs;
- the Customer must comply with applicable AI provider policies, including safety rules, acceptable use policies, and prohibited use restrictions.
12. Cloud PhonesIf the Customer uses Cloud Phones, the Customer agrees to use them only for lawful purposes and in accordance with these Terms, applicable law, and third-party platform rules.
Cloud Phones must not be used for unlawful automation, fraud, platform restriction circumvention, mass spam, unlawful account creation, unauthorized access, violation of application rules, or other prohibited activities.
GixWeb may restrict, suspend, or terminate access to Cloud Phones if it suspects a breach of these Terms, provider rules, platform requirements, or applicable law.
13. China ConnectivityChina Connectivity Services may depend on network routes, telecommunications partners, regional restrictions, regulatory requirements, traffic parameters, and actions of third parties.
GixWeb will use commercially reasonable efforts to provide a solution intended to improve stability, latency, and connection quality, but does not guarantee absolute availability, absence of blocking, a constant latency level, or unchanged routes unless expressly stated in the Order.
The Customer is responsible for the lawfulness of its content, services, traffic, and activities in the relevant jurisdictions.
14. Intellectual PropertyGixWeb and its licensors retain all intellectual property rights in its materials, tools, documentation, methodologies, calculations, commercial models, platforms, processes, templates, presentations, interfaces, and other intellectual property.
The Customer retains rights in its data, materials, products, content, and infrastructure. The Customer grants GixWeb a limited, non-exclusive right to use Customer-provided data and materials only to the extent necessary to provide the Services, prepare commercial assessments, perform onboarding, billing, support, and meet legal or operational obligations.
Unless otherwise agreed in writing, the Customer may not copy, distribute, resell, disclose to third parties, or use GixWeb’s commercial materials outside the purposes of its relationship with GixWeb.
15. Data Protection and PrivacyGixWeb processes personal data in accordance with applicable law and its Privacy Policy, if such policy is published or provided to the Customer.
The Customer is responsible for the lawfulness of providing personal data to GixWeb, obtaining necessary consents, notifying data subjects, and complying with applicable data protection laws.
GixWeb may process Customer data to provide the Services, verify payments, perform KYC / KYB checks, provide support, manage billing, prevent fraud, comply with law, and protect its rights.
Where provision of the Services requires transfer of data to third-party providers, the Customer agrees to such transfer to the extent necessary to perform the Order.
16. ConfidentialityEach party will keep confidential the non-public information of the other party and will not disclose it to third parties except:
- to employees, contractors, advisors, providers, or partners who need to know such information to perform the Services and who are bound by confidentiality obligations;
- with prior written consent of the other party;
- as required by law, court, regulator, bank, payment processor, KYC / KYB provider, or other authorized party;
- where the information becomes public through no fault of the receiving party.
Confidentiality obligations survive termination of these Terms.
17. Warranties and DisclaimersGixWeb will perform the Services with reasonable skill, care, and commercially reasonable diligence.
Unless specific warranties, SLAs, timelines, availability commitments, limits, discounts, prices, or results are expressly stated in the Order, GixWeb does not guarantee any specific savings, latency level, model availability, quota size, onboarding speed, provider approval, or continued rate availability.
EXCEPT AS EXPRESSLY PROVIDED IN THE ORDER, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIXWEB DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, CONTINUITY OF OPERATION, ERROR-FREE OPERATION, AND NON-INFRINGEMENT.
18. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, GIXWEB’S LIABILITY ARISING FROM OR RELATED TO THESE TERMS, ANY ORDER, OR THE SERVICES IS LIMITED TO THE AMOUNTS ACTUALLY PAID BY THE CUSTOMER TO GIXWEB FOR THE AFFECTED SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
IN NO EVENT WILL GIXWEB BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR LOST PROFITS DAMAGES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LOSS OF CUSTOMERS, SERVICE UNAVAILABILITY, PROVIDER PRICING CHANGES, OR THIRD-PARTY ACTS, EVEN IF GIXWEB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations do not apply to liability that cannot be limited or excluded by applicable law.
19. IndemnificationThe Customer will indemnify, defend, and hold harmless GixWeb, its directors, employees, contractors, partners, and providers from and against any claims, liabilities, losses, penalties, expenses, and costs, including reasonable legal fees, arising from:
- the Customer’s breach of these Terms or any Order;
- unlawful or improper use of the Services;
- violation of applicable law;
- infringement of third-party rights;
- the Customer’s content, data, traffic, requests, prompts, outputs, or actions;
- use of the Services in prohibited or high-risk scenarios without GixWeb’s approval.
20. Suspension and TerminationGixWeb may suspend or terminate the Services, in whole or in part, in case of:
- late payment;
- breach of these Terms or any Order;
- suspected illegal, fraudulent, sanctions-related, or malicious activity;
- breach of provider rules;
- technical, operational, or legal risk;
- requirements of law, court, regulator, bank, payment processor, or provider;
- termination or restriction of access by a third-party provider.
Termination or suspension does not relieve the Customer of payment obligations incurred or payable before the date of termination.
Upon termination, the Customer must cease using the relevant access, APIs, accounts, resources, Cloud Phones, routes, and other provided solutions. GixWeb may delete, restrict, or archive Customer data in accordance with its internal policies, provider requirements, and applicable law.
21. Modifications to Services and TermsGixWeb may modify, update, restrict, or discontinue certain features, rates, routes, models, providers, regions, payment methods, or conditions of the Services where this is related to commercial, technical, regulatory, or partner changes.
GixWeb may amend these Terms from time to time. Continued use of the Services after notice constitutes acceptance of the amended Terms.
22. Partner and Agency RelationshipsIf a Customer, partner, or agent introduces a potential client or opportunity to GixWeb, such relationship is governed by a separate partner agreement, agency agreement, email confirmation, or other written document.
Unless otherwise agreed in writing, the introduction of a contact or opportunity does not automatically create any right to compensation. Compensation terms, amount, payment trigger, validity period, territory, partner role, and deal confirmation process must be agreed separately.
23. Sanctions, Export Controls and ComplianceThe Customer represents that it is not subject to sanctions, is not controlled by sanctioned persons, and will not use the Services in violation of sanctions regimes, export controls, AML / CTF requirements, or other applicable restrictions.
GixWeb may refuse to provide Services, suspend access, request additional information, or terminate the relationship where necessary to comply with law, provider requirements, banks, payment processors, or internal compliance procedures.
24. NoticesNotices to the Customer may be sent to the email provided by the Customer, through the Account, messenger, commercial correspondence, or other agreed communication channels.

sales@gixweb.io 25. Governing Law and Dispute ResolutionThese Terms are governed by the laws of the United Arab Emirates, unless otherwise expressly agreed by the parties in writing.
Any dispute, controversy, or claim arising out of or related to these Terms, any Order, or the Services shall first be addressed through good-faith negotiations between the parties.
If the dispute cannot be resolved through negotiations, it shall be subject to the competent courts of the United Arab Emirates, unless otherwise agreed by the parties in writing.
26. SeverabilityIf any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force. The invalid provision shall be replaced by a valid provision that most closely reflects the original commercial intent of the parties.
27. Entire AgreementThese Terms, together with the relevant Order, quotation, invoice, statement of work, Privacy Policy, partner agreement, and any other agreed documents, constitute the entire agreement between the Customer and GixWeb regarding the relevant Services.
In case of conflict between these Terms and an Order, the Order prevails with respect to specific commercial terms, pricing, timelines, scope of Services, and special terms.
